Armement : Nexter Systems et Krauss-Maffei Wegmann ont finalisé leur alliance (communiqué)

Nexter Systems et Krauss-Maffei Wegmann (KMW) ont finalisé leur alliance le 15 décembre 2015. Les deux groupes français et allemands de défense terrestres, parmi les leaders européens, travailleront ensemble sous l’égide d’une holding se trouvant à Amsterdam et régie par la loi des Pays-Bas. Les actionnaires uniques respectifs de chaque entreprise ont transféré toutes leurs parts à la holding, qui sera de type N.V. (Naamloze Vennootschap, compagnie à responsabilité limitée), et ont reçu en retour 50 % des parts de la société de tête.

Le Conseil de Surveillance de la holding s’est rassemblé à Amsterdam pour sa réunion constitutive. Le conseil comprend sept membres et est présidé par Christian Jourquin de nationalité belge.

L’actionnaire français de Nexter a nommé comme membres Jean-Séverin Deckers (Agence des Participations de l’État) et Bertrand Le Meur (Direction Générale de l’Armement), tandis que les actionnaires de KMW ont nommé Manfred Bode et Axel J. Arendt. Aux côtés du Président du conseil, les actionnaires des deux entreprises ont également nommé Antoine Bouvier (PDG de MBDA) et UtzHellmuth Felcht comme membres indépendants. Le Conseil de Surveillance a, à son tour, nommé le nouveau PDG de Nexter, Stéphane Mayer, et le président du conseil de direction de KMW, Frank Haun, en tant que membres du Directoire et co-PDGs de la holding.

Upon all required approvals having been granted, Nexter Systems and Krauss-Maffei Wegmann (KMW) have completed their association on 15 December 2015. As a result, going forward, two of the leading European manufacturers of military land systems based in France and Germany will operate jointly under the umbrella of a holding company under Dutch law with headquarters in Amsterdam. The sole shareholders of each of the two companies have transferred all their shares into the holding company who will operate in the legal form of an N.V.; in return they have each received 50 per cent of the shares in the umbrella company.

As part of the completion, the supervisory board of the joint holding company has also met in Amsterdam for its constitutive meeting. It comprises seven members and is chaired by the Belgium national, Christian Jourquin. The French owner appointed Jean-Severin Deckers (APE-State Holding Agency) and Bertrand Le Meur (DGA-French defense procurement agency) to the supervisory board; the owners of KMW appointed Dr. Manfred Bode and Axel J. Arendt. Alongside the independent chairman of the supervisory board, both shareholders appointed Antoine Bouvier (CEO of MBDA) and Prof. Dr. Dr. Utz Hellmuth Felcht onto the board as additional independent members. The supervisory board appointed the new CEO of Nexter Systems, Stéphane Mayer, and the chairman of the executive board of KMW, Frank Haun, as CEOs of the holding company.
